Terms of Service

1. Acceptance of Terms
By downloading, installing, or using the Vara mobile application or website ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the App.
These Terms apply to all users, including free trial users, paid subscribers, and visitors to our website.
2. What Vara Is
Vara is a brain-health-centered wellness application designed to help people build clarity, consistency, and resilience by working with how the brain actually functions. The App provides:
Goal setting and habit tracking aligned with how the brain learns and adapts
Guided journaling and reflection prompts to support emotional regulation
Daily routines and structured planning tools
Educational content on brain health, focus, and sustainable habits
AI-assisted wellness suggestions and personalized prompts
Breathwork, focus, and recovery tools
3. Eligibility & Account Creation
3.1 Age Requirements
You must be at least 13 years old to use Vara. If you are located in the European Economic Area, you must be at least 16 years old. By creating an account, you confirm that you meet these requirements.
3.2 Account Responsibilities
You agree to provide accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account. You agree to notify us immediately if you believe your account has been accessed without your authorization. One account per person. Creating duplicate accounts is not permitted.
3.3 Account Termination
You may delete your account at any time through the Settings menu in the App. Upon deletion, your personal data will be removed from our active systems within 30 days, subject to the exceptions described in our Privacy Policy (such as legal retention obligations).
We reserve the right to suspend or terminate accounts that violate these Terms, engage in harmful or abusive behavior, or remain inactive for more than 18 months (we will notify you before doing so).
4. Subscriptions & Billing
4.1 Free Trial
All new users receive a 7-day free trial with full access to all Vara features. The trial begins on the date your account is created. Only one free trial is permitted per user. Your subscription will automatically begin at the end of the trial period unless you cancel beforehand.
4.2 Subscription Plans
Prices are in USD. Subscriptions are billed through the Apple App Store or Google Play Store and are subject to the payment terms of those platforms.
4.3 Auto-Renewal
Subscriptions renew automatically at the end of each billing period unless canceled at least 24 hours before the renewal date. You will be charged through your App Store account.
4.4 Cancellation
You may cancel your subscription at any time through your App Store or Google Play subscription settings. Cancellation takes effect at the end of the current billing period. You will retain access to Vara for the remainder of your paid period.
4.5 Price Changes
We will notify you at least 30 days in advance of any price increase. Continued use of the App after a price change takes effect constitutes your acceptance of the new price.
4.6 Refunds
Refunds are subject to the policies of the Apple App Store or Google Play Store. We are not able to process refunds directly. If you believe a charge was made in error, please contact us at support@varawellness.co and we will do our best to assist.
5. AI-Powered Features & Data Processing
5.1 What Our AI Features Do
Vara uses artificial intelligence to provide personalized wellness suggestions, journal prompts, routine recommendations, and educational insights. These features are designed to support your brain-health journey by offering relevant, context-aware guidance based on your usage patterns and the information you choose to share with the App.
5.2 What Data Is Sent to AI Systems
When you use AI-powered features, certain information you have entered in the App may be transmitted to our AI processing partner (currently OpenAI) to generate a response. This may include:
Content you enter in journal entries or reflection prompts (when you actively use an AI feature)
Your stated goals, habits, and routine preferences
General context about your usage patterns relevant to the feature you are using
We do not transmit sensitive personal identifiers (such as your full name, email address, or payment information) to AI processing systems.
5.3 Our AI Processing Partner
AI features are currently powered by OpenAI's API. When your data is transmitted for AI processing: OpenAI processes your data in accordance with their API Data Usage Policy and Privacy Policy, available at openai.com. As of the effective date of these Terms, OpenAI does not use data submitted via the API to train its models by default. This is subject to OpenAI's own policies, which may change. We will update this section if our AI processing partner changes.
5.4 AI Opt-Out
AI-powered features are optional. You can use Vara's core features -- including goal setting, habit tracking, journaling, and routines -- without engaging with any AI features. If you prefer not to have your data transmitted to AI systems, simply do not use AI-powered prompts or features within the App.
5.5 AI Limitations (Important)
AI-generated content is not a substitute for professional advice. Vara's AI features are designed to support wellness habits and provide general guidance, but they are not a replacement for medical, psychological, or professional care.
6. Health & Wellness Disclaimer
6.1 Not Medical Advice
Vara provides general wellness information, educational content, and tools to support healthy habits and brain health. Nothing in the App -- including AI-generated content, educational articles, or coaching suggestions -- constitutes medical advice, mental health diagnosis, or treatment.
6.2 Not a Replacement for Professional Care
If you have a medical condition, mental health concern, or are experiencing psychological distress, please consult a qualified healthcare professional. Vara is not a substitute for therapy, counseling, psychiatric care, or any other professional health service.
6.3 Emergency Situations
Vara is not equipped to handle medical or mental health emergencies. If you or someone you know is in crisis, please contact emergency services (911) or the 988 Suicide and Crisis Lifeline.
6.4 User Responsibility
You use Vara at your own discretion. We are not liable for health, wellness, or behavioral outcomes resulting from your use of the App.
7. Acceptable Use
7.1 You Agree To
Use the App in compliance with applicable laws and regulations.
Respect other users' privacy and rights.
Provide accurate information in your account and within the App.
7.2 You Agree Not To
Harass, bully, or threaten other users.
Post or transmit content that is harmful, illegal, defamatory, or offensive.
Attempt to reverse engineer, hack, or compromise the security of the App.
Scrape, collect, or harvest data from the App without authorization.
Use the App for commercial purposes without our written permission.
Impersonate other users or create false accounts.
Promote self-harm, dangerous activities, or harmful ideologies.
8. Your Content
You retain ownership of all content you create within Vara, including journal entries, goals, habit records, and reflections ("User Content"). By using the App, you grant Vara a limited license to store, process, and display your User Content solely for the purpose of providing the App's services to you.
We do not sell your personal content. We do not use your journal entries or personal reflections for advertising purposes. Your content is yours.
Your content must comply with applicable laws and these Terms. We reserve the right to remove content that violates these Terms.
9. Privacy & Data
Your privacy matters to us. Our full Privacy Policy explains in detail how we collect, use, store, and protect your personal data, including: what data we collect and why, how your data is stored (currently via Google Firebase / Google Cloud infrastructure), when and how data is shared with third-party services, your rights regarding your data (including access, correction, and deletion), and how we comply with GDPR, CCPA, and other applicable privacy laws.
By using Vara, you agree to our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy is available at varawellness.co/privacy and within the App under Settings.
10. Third-Party Services
Vara integrates with the following third-party services to deliver the App's functionality. Each of these services operates under its own terms of service and privacy policy. We are not responsible for the practices of third-party services. We will update this section if our service providers change.
11. Intellectual Property
The Vara App, including its design, codebase, branding, educational content, AI prompts, and all related materials, is owned by Vara and protected by applicable copyright, trademark, and intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use. You may not copy, modify, distribute, reverse engineer, or create derivative works from the App or its content without our explicit written permission.
12. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VARA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the App will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy or completeness of any content within the App, including AI-generated content.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VARA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR PERSONAL INJURY.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VARA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
Some jurisdictions do not permit certain limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify and hold harmless Vara, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the App; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.
15. Changes to These Terms
We may update these Terms from time to time to reflect changes in the App, applicable law, or our practices. When we make material changes, we will notify you by: sending a notification within the App, emailing you at the address associated with your account, and updating the "Effective Date" at the top of this document.
Your continued use of the App after changes take effect constitutes your acceptance of the updated Terms. If you do not agree with updated Terms, you may cancel your subscription and delete your account.
16. Dispute Resolution
16.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.
16.2 Informal Resolution
Before initiating any formal legal proceeding, we ask that you contact us at support@varawellness.co to describe the issue. We will make a good-faith effort to resolve disputes informally within 30 days.
16.3 Binding Arbitration
If informal resolution is unsuccessful, any dispute arising out of or related to these Terms or the App shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA), except where prohibited by law. This means you agree to resolve disputes through arbitration rather than in court, and you waive the right to a jury trial.
Exceptions to arbitration: Either party may seek injunctive or equitable relief in a court of competent jurisdiction. Small claims court actions are also excluded from this arbitration requirement.
16.4 Class Action Waiver
You agree to resolve any disputes with Vara on an individual basis and not as a plaintiff or class member in any class action proceeding.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vara regarding your use of the App.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
17.4 Assignment
You may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
18. App Store Acknowledgments
If you download Vara from the Apple App Store or Google Play Store, the following applies:
These Terms are an agreement between you and Vara, not Apple or Google.
Apple and Google have no obligation to provide support or maintenance for the App.
Apple and Google are not responsible for the App or its content.
You agree to comply with the applicable App Store terms of service in addition to these Terms.
